Various approaches to the definition of concepts "corporation" and "corporate act" are analyzed. At the same time, the authors give the classification of corporate acts types and show the specificity of legal technologies for their creation, change and denouncement, and consider factors that determine the quality of their creation and the effectiveness of corporate regulation.

The article describes the mechanism for attracting financial resources of non-residents by Russian corporations by issuing shares and depositary receipts. The authors define the reasons and conditions for the effectiveness of each of the presented mechanisms. They consider in detail the stages of buying Russian issuers’ shares by a foreign investor. Those situations, when it is advisable to raise capital through depositary receipts, are explained. The authors formulate the definition of a depositary receipt as a special financial instrument. They also give the classification of depositary receipts on a territorial basis. The article provides a detailed description of the subject composition of the procedure for issuing foreign depositary receipts.

The article analyzes the features of civil liability of organizations’ heads and the conditions for the establishment of legal regulation of the digital economy. It is concluded that legislative consolidation of concepts related to digital financial assets will positively affect approaches to the criteria of honesty, reasonableness as expressions of an individual guilt.

The work is devoted to the study of the type of corporate responsibility and the legal nature of this type of responsibility. Also, special attention is paid to some aspects of the application of this Institute in the management of a modern enterprise and the involvement of members of corporate management bodies in this type of responsibility. The author also analyzed the main legislative provisions on this research topic.
